Role Overview
The Governance & Compliance Specialist is a full-time, on-site role based in Riyadh, Saudi Arabia. The role is responsible for developing, implementing, and maintaining the company's governance and compliance frameworks, managing the company's disclosures on Tadawul, and serving as a key point of coordination with the Capital Market Authority (CMA).
Key Responsibilities
Prepare, review, and publish the company's disclosures on Tadawul in accordance with the CMA's Rules on the Offer of Securities and Continuing Obligations, ensuring accuracy and timeliness.
Handle CMA inquiries, observations, and requests, and prepare responses and supporting documentation within the required timelines.
Monitor regulatory developments issued by the CMA and assess their impact on the company.
Ensure compliance with the Companies Law and the CMA's Corporate Governance Regulations.
Draft and update governance policies, procedures, and reports for management, board committees, and the Board of Directors.
Assess compliance risks and conduct periodic reviews of internal processes and documentation.
Coordinate with legal, finance, and investor relations teams on disclosure and compliance matters.
Train and advise staff on governance and disclosure requirements.
Qualifications
- Bachelor's degree in Law, Business, Finance, Public Administration, or a related field.
- Must hold at least one of the following professional certifications: CCGO, CME-1, or IFSAH.
- Proven experience preparing Tadawul disclosures and handling CMA inquiries and observations.
- Solid knowledge of the Companies Law, CMA Corporate Governance Regulations, and continuing obligations for listed companies.
- Experience in corporate governance, compliance, internal audit, or regulatory affairs, preferably within a listed company.
- Strong analytical skills and the ability to interpret complex regulatory requirements.
- Excellent written communication skills in Arabic and English, including drafting official disclosures and regulatory correspondence.
- High attention to detail, integrity, and ability to handle confidential information.
- Must be based in Riyadh or within commuting distance.
